PowerLedger is an informational, educational, and market-intelligence research platform only. It does not provide financial advice, investment advice, trading recommendations, or any regulated financial services. All data, forecasts, signals, and analytics are probabilistic research estimates intended for educational and decision-support purposes only. You are solely responsible for your own financial and investment decisions.

1. Acceptance of Terms

By accessing or using PowerLedger ("Platform", "Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to these Terms, do not use the Platform.

These Terms constitute a legally binding agreement between you ("User", "Subscriber") and SparkWise B.V., a company registered in the Netherlands ("Company", "we", "us").

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or in-app notice. Continued use after notification of changes constitutes acceptance.

2. Informational Use Only — Not Financial Advice

PowerLedger provides market intelligence, educational analytics, pattern research, and decision-support tools. By using the Platform, you acknowledge and agree that:

• Nothing on PowerLedger constitutes financial advice, investment advice, trading advice, tax advice, or legal advice of any kind.
• PowerLedger is not a registered investment advisor, broker-dealer, financial planner, or any other type of regulated financial services provider in any jurisdiction.
• Forecasts, signals, confidence scores, scenario outputs, and other analytics are probabilistic estimates and research tools — not predictions, guarantees, or recommendations.
• All simulated trades, paper portfolios, and backtesting results are for educational purposes only and do not reflect real trading performance.
• Historical accuracy data shown on the Platform is descriptive only — past performance does not guarantee future results.
• Political trading disclosure data is informational research only — it does not constitute a recommendation to follow any politician's trades.
• No fiduciary relationship exists between you and PowerLedger or SparkWise B.V.

3. Eligibility & Account Responsibilities

To use PowerLedger, you must:

• Be at least 18 years of age.
• Provide accurate and complete information when creating an account or submitting an application.
• Maintain the confidentiality of your login credentials.
• Notify us immediately of any unauthorised access to your account.

You are responsible for all activity that occurs under your account.

4. Subscription Plans & Payment

PowerLedger offers subscription tiers including Free, Starter, Plus, Premium, Pro, Pro Team, Agent Core, Fund OS, and Enterprise. All plans provide access to software, research tools, analytics and decision-support functionality — not financial advice.

Individual self-serve plans are billed monthly via Mollie. Pro, Pro Team, Agent Core, Fund OS and Enterprise plans are invoiced manually or by arrangement. All prices are shown excluding VAT where applicable.

Payment is due at the start of each billing period. The Free plan provides limited access at no cost.

5. Cancellation & Refunds

You may cancel your subscription at any time by contacting us at office@sparkwise.nl. Cancellation takes effect at the end of the current billing period. You retain access to your subscribed features until the period ends.

Subscription fees are non-refundable except where required by applicable law. See our Refund Policy for details.

6. Acceptable Use

You agree not to use the Platform for any unlawful purpose, attempt to gain unauthorised access, scrape or systematically extract data, reproduce or resell outputs commercially without a licence, manipulate markets, impersonate others, upload malicious code, or provide financial advice services to third parties under your account without an appropriate institutional plan.

7. Intellectual Property

All Platform content, software, designs, algorithms, models, and data compilations are the property of SparkWise B.V. or its licensors, protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to access and use the Platform for your own internal research and educational purposes only.

8. Limitation of Liability

To the maximum extent permitted by applicable law:

• PowerLedger and SparkWise B.V. are not liable for any financial losses, trading losses, investment losses, or consequential damages arising from your use of the Platform or reliance on any of its outputs.
• We make no warranties, express or implied, regarding the accuracy, completeness, timeliness, or fitness for any particular purpose of any data, forecast, signal, or other output.
• Our total aggregate liability shall not exceed the subscription fees paid by you in the 12 months preceding the claim.

Nothing in these Terms limits liability for fraud, gross negligence, or any liability that cannot be excluded under applicable law.

9. Data & Privacy

Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

10. Disclaimer of Warranties

The Platform is provided "as is" and "as available" without warranties of any kind. We do not warrant that the Platform will be uninterrupted, error-free, or free from security vulnerabilities.

11. Governing Law & Disputes

These Terms are governed by the laws of the Netherlands. Any dispute shall be subject to the exclusive jurisdiction of the courts of the Netherlands, unless applicable consumer protection law mandates otherwise.

12. Severability & Entire Agreement

If any provision is found unenforceable, the remaining provisions remain in full force. These Terms, together with the Privacy Policy and Legal Disclaimer, constitute the entire agreement between you and SparkWise B.V.
